1. Giveaway Overview and Dates.  Between 7/20/26 and 7/31/26 (“Giveaway Period”), Sponsor will give away FREE 16 fl. oz.bottles of COFFEE MATE® Situation-sip Mixed Fruit Flavored creamer (the “FREE Product”) on a first-come, first-serve basis while supplies last. There will be two (2) separate “Giveaway Windows” during the Giveaway Period. Each Giveaway Window will close either when the Deadline (defined below) occurs, or when the maximum number of FREE Product requests have been received for each Giveaway Window, whichever occurs sooner. Eligible participants who successfully submit a request for the FREE Product during any Giveaway Window will receive one (1) free 16 fl oz bottle of COFFEE MATE(R) Situation-sip Mixed Fruit Flavored creamer (ARV $4.99). No more than 500 FREE Products will be given away during the entire Giveaway Period. Limit one free Product per person per household during the Giveaway Period.
2. Eligibility.  To be eligible to receive a FREE Product, you must be a legal resident of the 50 United States or the District of Columbia, and be at least 18 years of age or older (or 19 years of age or older if a resident of AL or NE). Void where prohibited. Employees of Nestlé USA, Inc (“Sponsor”), Brandmovers, Inc. (“Fulfillment Agency”) and/or any of their respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the FREE Product or this Giveaway (collectively with Sponsor, the "Giveaway Entities") and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members of each such employee are not eligible to participate or receive a FREE Product. The Giveaway is subject to all applicable federal, state, and local laws and regulations. Participation constitutes participant’s full and unconditional agreement to these Terms and Conditions and Sponsor's decisions, which are final and binding in all matters related to the Giveaway.
3. Giveaway Dates.  There will be two (2) separate Giveaway Windows during the Giveaway Period. Each Giveaway Window will close either when the Deadline (defined below) occurs, or when the maximum number of FREE Product requests have been received for each Giveaway Window, whichever occurs sooner (each, a “Giveaway Window” or collectively, the “Giveaway Period”).

4. How To Participate in the Giveaway.  To request your FREE Product, eligible participants can visit www.coffeemate.com/situationsip (“Website”) during any Giveaway Window to find, complete and submit the FREE Product request form, which includes providing your first and last name, email address, street address (NO PO Boxes), city, state, and zip code (each, a “Request”). Upon submitting your Request and upon verification, if you are one of the first 250 in the Giveaway Window to submit a Request, you will receive one FREE Product Limit one (1) Request per person and per household during the entire Giveaway Period. Requests must be submitted by 11:59:59 PM ET by the Deadline set forth above or before the maximum number of FREE Product Requests have been received during any Giveaway Window in order to receive a FREE Product.
   
   In the event of a dispute regarding the identity of the person submitting a Request, the authorized account holder of said e-mail account at the time of the Request was submitted will be considered the participant submitted the Request. “Authorized account holder” is defined as the natural person who is assigned an e- mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. The participant may be required to provide evidence that the participant is the authorized account holder.
   
   Sponsor is not responsible for lost, late, incomplete, invalid, or technical glitches associated with the Request process. Any attempt to submit more than one (1) Request by using multiple/different identities, or any other methods, may disqualify that individual from receiving the FREE Product, at the sole discretion of Sponsor. Use of any automated system to participate is prohibited and may result in disqualification, at Sponsor’s sole discretion.
5. Receiving Your FREE Product.  Upon Sponsor’s receipt of the Request and confirmation of eligibility to receive the FREE Product, the Fulfillment Agency will ship the FREE Product to the address provided during the Request process. Allow 6 to 8 weeks for the shipping of any FREE Product. Neither Sponsor nor Fulfillment Agency is responsible for lost, late, stolen, damaged, misdirected, or mutilated shipping of any FREE Product.
6. Participation Conditions and Release.  By submitting a Request, each participant agrees to: (a) comply with and be bound by these Terms and Conditions and the decisions of the Sponsor which are binding and final in all matters relating to this Giveaway; (b) release and hold harmless the Giveaway Entities from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a Request, participation in the Giveaway, acceptance or use or misuse of the FREE Product; and (c) indemnify, defend and hold harmless the Giveaway Entities from and against any and all claims, expenses, and liabilities (including, without limitation, reasonable attorney’s fees) arising out of or relating to a participant’s participation in the Giveaway and/or accepting or using or misusing the FREE Product.
7. General Conditions.  Sponsor reserves the right to cancel, suspend and/or modify the Giveaway, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Giveaway, as determined by Sponsor in its sole discretion. The Giveaway Entities are not responsible for any malfunction of the Website, including if the Website tracker fails to end a Giveaway Window once the maximum number of Requests for the applicable Giveaway Window are submitted and received and in the event of such failure, Sponsor is not required to fulfill any FREE Products that exceed the maximum to be given away as set forth in these Terms and Conditions. If the Giveaway is terminated before the designated end date, Sponsor will not be responsible to give away the full 500 FREE Products. Sponsor reserves the right in its sole discretion to disqualify any individual it to be tampering with the Request process or the operation of the Giveaway or to be acting in violation of these Terms and Conditions or any unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law, and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of FREE Product described in these Terms and Conditions will be given away. The invalidity or unenforceability of any provision of these Terms and Conditions shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms and Conditions shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision.
8. Limitations of Liability.  The Giveaway Entities as set forth above, are not responsible for: (1) any incorrect or inaccurate information, whether caused by participants or by any of the equipment or programming associated with or utilized in the Giveaway; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Request process or the Giveaway; (4) technical or human error which may occur in the administration of the Giveaway or the processing of Requests; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participant’s participation in the Giveaway or receipt or use or misuse of a FREE Product. If for any reason a Request is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, participant’s sole remedy is a replacement Request, if any FREE Product remains available. Participant further agrees and acknowledges that Sponsor reserves the right to forfeit any unclaimed or leftover FREE Products at its sole discretion.
9. Privacy.  Information provided for this Giveaway is subject to Sponsor’s privacy policy at https://www.nestleusa.com/privacy. By submitting a Request, each participant agrees that the Sponsor and/or Fulfillment Agency has the right to contact the participant via the email account provided by participant on the Request, when necessary, in order to administer and/or fulfill this Giveaway.
10. Disputes/Governing Law.  Except where prohibited, each participant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Giveaway, other than those concerning the administration of the Giveaway or for any disputes arising from the loss or injury from the Giveaway, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Terms and Conditions (except for any disputes arising from the loss or injury from the use of FREE Products) shall be submitted to final, binding arbitration conducted in Arlington County, VA under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a former or retired Virginia state or federal court judge with experience in entertainment matters who shall follow Virginia law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in Arlington County, VA including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Giveaway Entities shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Terms and Conditions) in the state and federal courts of Arlington County, VA. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Terms and Conditions), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in Arlington County, VA; (iii) any and all claims, judgments, and awards shall be limited to actual out-of- pocket costs incurred, including costs associated with participating in this Giveaway, but in no event attorneys' fees; and (iv) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of- pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions, or the rights and obligations of the participant and Sponsor in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Virginia, without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Virginia
